An effective Contract Compliance Program is comprehensive and integrated. The policies and
procedures must address the four fundamental elements of the Licensing Relationship:

• Contract: Contracts should clearly articulate the key requirements, responsibilities, and obligations
  of the parties. Conflicting interpretations of complex contract terms lead to disagreements that may

• Access to the Data: Controlling a client's access to the intellectual property is critical to protecting
  your valuable asset.
  
  
• Usage: When working with data licensing, it is essential to have a thorough understanding of how,
  and how much, data a client uses and/or distributes in order to ensure that appropriate controls have
  been implemented and to determine accurate fees and charges.
  
  
• Verification: A successful program has a reliable method for confirming compliance or clearly
  identifying non-compliance issues.
